Welcome to Hala CAYA! These Terms & Conditions (the “Terms”) govern your use of our online tele-coaching platform, accessible at https://halacaya.com, and any other related services provided by Hala CAYA, Inc. (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
Hala CAYA, Inc. is committed to providing coaching services for children, adolescents, young adults, as well as their parents. Our goal is to support the mental well-being and development of our clients through expert guidance and coaching. Please read these Terms carefully before using our Services, as they contain important information about your rights, obligations, and limitations when using the platform.
If you do not agree to these Terms, please do not use the Services.
By accessing or using the Services provided by Hala CAYA, Inc., you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. This agreement applies to all visitors, users, and others who access or use the Services, including parents or guardians of minors who use the Services.
Your use of the Services constitutes your acceptance of these Terms, and you agree to comply with all applicable laws and regulations. If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization or entity to these Terms.
If you do not agree with any part of these Terms, you must discontinue your use of the Services immediately.
To use the Services provided by Hala CAYA, Inc., you must meet the following eligibility criteria:
Age Requirements: You must be at least 18 years old to create an account or use the Services independently. Minors under the age of 18 may only use the Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
Location: The Services may not be available in all geographic locations. It is your responsibility to ensure that your use of the Services complies with all applicable laws and regulations in your jurisdiction.
Legal Capacity: By using the Services, you represent and warrant that you have the legal capacity and authority to enter into a binding agreement with Hala CAYA, Inc. and that you are not prohibited from using the Services under any applicable laws.
If you do not meet these eligibility requirements, you may not use the Services.
Hala CAYA, Inc. offers online coaching services designed to support the mental well-being and development of children, adolescents, and young adults, as well as their parents. Our Services include, but are not limited to:
Coaching Sessions: One-on-one or group sessions conducted by qualified coaches and practitioners. These sessions are focused on providing guidance, strategies, and support for various behavioral, emotional, and developmental challenges.
Educational Resources: Access to materials, articles, and resources aimed at helping parents and young individuals navigate mental health and developmental milestones.
Support Services: Additional services such as follow-up sessions, feedback mechanisms, and communication tools to enhance the coaching experience.
Important Note: The Services provided by Hala CAYA, Inc. are strictly for coaching purposes and do not constitute medical or psychological therapy. Our coaches do not diagnose, treat, or provide medical advice. If you or someone you know is in need of medical or therapeutic support, you should seek help from a licensed healthcare provider.
To access certain features of the Services, you may be required to create an account with Hala CAYA, Inc. When creating an account, you agree to provide accurate, current, and complete information about yourself and, where applicable, your child as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Security: You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password, whether your password is with Hala CAYA, Inc. or a third-party service. You agree to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
Account Activity: You agree to use the Services only for lawful purposes and in accordance with these Terms. Any misuse of your account, including but not limited to unauthorized access, sharing of your account with others, or providing false information, may result in the termination of your account.
Multiple Accounts: You may not create more than one account unless specifically authorized by Hala CAYA, Inc. to do so. Additionally, you may not transfer or sell your account to another party without our prior written consent.
Hala CAYA, Inc. reserves the right to suspend or terminate your account at any time if we believe that you have violated these Terms or that your actions may harm our platform or users.
By using the Services offered by Hala CAYA, Inc., you agree to the following payment terms:
Fees and Charges: You are responsible for paying all fees and charges associated with your use of the Services. The fees for coaching sessions and other services will be clearly communicated to you at the time of booking. All payments must be made in the currency specified at the time of purchase.
Payment Methods: Hala CAYA, Inc. accepts various payment methods, including credit/debit cards and other payment options that may be offered from time to time. By providing a payment method, you represent and warrant that you are authorized to use the payment method and that you authorize Hala CAYA, Inc. (or our third-party payment processor) to charge your payment method for the total amount of your purchase.
Billing: You will receive a confirmation with details of your purchase and payment once the transaction is completed. Hala CAYA, Inc. reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment.
Refunds and Cancellations: Refund and cancellation policies are specific to the services provided and will be communicated to you at the time of booking. If you need to cancel a session, you may do so according to the cancellation policy outlined below.
Cancellation Notice: Sessions must be canceled at least 24 hours in advance to avoid a cancellation fee. Cancellations made with less than 24 hours’ notice will incur 50% of the full session fee. Failing to show up for a confirmed session, without prior cancellation notice, will result in the full session fee being charged to the client.
Refunds: Refunds are not issued for completed sessions. Any disputes regarding billing must be submitted in writing within 30 days of the invoice date for review and resolution.
Late Payments: If your payment method fails or your account becomes overdue, Hala CAYA, Inc. reserves the right to suspend or terminate your access to the Services until the outstanding balance is settled. Additional fees may apply to late payments as permitted by law.
Price Changes: Hala CAYA, Inc. reserves the right to modify its fees or charges for the Services at any time. Any price changes will be communicated to you in advance, and you will have the option to continue with the Services at the new rates or cancel your use of the Services.
As a user of the Hala CAYA, Inc. Services, you agree to adhere to the following conduct guidelines:
Respectful Behavior: You agree to engage with our coaches, staff, and other users in a respectful and professional manner. Any form of harassment, abuse, or discriminatory behavior will not be tolerated and may result in the suspension or termination of your account.
Prohibited Activities: You are strictly prohibited from using the Services for any unlawful or unauthorized purpose, including but not limited to:
Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.
Uploading, posting, or transmitting any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable.
Engaging in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
Attempting to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services, by hacking, password “mining,” or any other illegitimate means.
Using the Services to advertise or promote any commercial activities or sales without prior written consent from Hala CAYA, Inc.
Content Ownership and Rights: You acknowledge and agree that any content you submit or make available through the Services, including but not limited to feedback, comments, or suggestions, may be used by Hala CAYA, Inc. without compensation to you. You also agree that such content does not violate any third-party rights, including intellectual property rights.
Monitoring and Enforcement: Hala CAYA, Inc. reserves the right to monitor your use of the Services to ensure compliance with these Terms. We may investigate and take appropriate legal action against anyone who, in our sole discretion, violates these Terms, including but not limited to suspending or terminating the account of such violators.
Reporting Violations: If you believe that another user is violating these Terms, please contact us immediately at here4you@halacaya.com so that we can take appropriate action.
Hala CAYA, Inc. is committed to protecting the privacy and confidentiality of all users. This section outlines how we handle your personal information and the confidentiality of your interactions with us.
Confidentiality of Coaching Sessions: All coaching sessions conducted through our platform are confidential. Coaches are required to maintain the confidentiality of any information shared during these sessions, except in cases where disclosure is required by law (e.g., when there is a risk of harm to the user or others).
User Data: We collect and process certain personal information in accordance with our Privacy Policy. This may include information such as your name, contact details, and payment information, as well as any data you provide during the use of our Services.
Data Security: Hala CAYA, Inc. takes the security of your personal information seriously. We implement industry-standard security measures to protect your data from unauthorized access, disclosure, alteration, or destruction. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.
Sharing of Information: We do not share your personal information with third parties except as described in our Privacy Policy. We may share information with our service providers to facilitate the delivery of Services, but only under strict conditions that protect your privacy.
User Responsibility: You are responsible for maintaining the confidentiality of any personal information or data you share on our platform. We encourage you to be mindful of the information you provide and to use secure practices when sharing personal information online.
Privacy Policy: By using our Services, you agree to the collection, use, and disclosure of your information as described in our Privacy Policy. If you do not agree with our Privacy Policy, please do not use the Services.
9. Intellectual Property
All content and materials available on the Hala CAYA, Inc. platform, including but not limited to text, graphics, logos, images, software, and any other material, are the property of Hala CAYA, Inc. or its licensors and are protected by intellectual property laws.
Ownership: Hala CAYA, Inc. retains all rights, title, and interest in and to the Services, including all associated intellectual property rights. These Terms do not grant you any ownership rights or licenses to any intellectual property owned by Hala CAYA, Inc. or its licensors, except as expressly provided in these Terms.
User-Generated Content: If you submit, upload, or post any content through the Services, including but not limited to comments, feedback, or suggestions (“User Content”), you grant Hala CAYA, Inc. a non-exclusive, royalty-free, perpetual, irrevocable, and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content throughout the world in any media.
Restrictions on Use: You may not copy, reproduce, distribute, or create derivative works from any content on the platform without the express written consent of Hala CAYA, Inc. or the applicable licensor. You may not use any trademarks, service marks, or logos of Hala CAYA, Inc. without our prior written permission.
Third-Party Content: The platform may contain content or links to third-party websites or resources. Hala CAYA, Inc. is not responsible for the content, products, or services on or available from those third-party websites, and such links should not be interpreted as an endorsement or approval by us.
Infringement Notice: If you believe that any content on the platform infringes upon your intellectual property rights, please contact us at here4you@halacaya.com with detailed information so that we can investigate and take appropriate action.
10. Dispute Resolution
At Hala CAYA, Inc., we are committed to resolving disputes in a fair and efficient manner. If you have any concerns or disputes regarding the Services, we encourage you to contact us directly so that we can address your concerns.
Informal Resolution: Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute or claim related to these Terms or the Services through informal negotiations with Hala CAYA, Inc. You can initiate this process by contacting us at here4you@halacaya.com. Both parties agree to make good faith efforts to resolve the dispute informally.
Binding Arbitration: If a dispute cannot be resolved informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Hala CAYA, Inc. will be settled by binding arbitration. Arbitration will be conducted in accordance with the rules of the American Arbitration Association (AAA) and will take place in Wilmington, Delaware, U.S.A. The arbitration will be conducted before a single arbitrator, and the arbitration will be governed by the laws of the State of Delaware, without regard to its conflict of law principles. The decision of the arbitrator will be final and binding on both parties, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
Exceptions to Arbitration: Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters related to intellectual property rights or unauthorized access to or use of the Services. Both parties agree that any such court proceedings will be conducted exclusively in the state or federal courts located in Wilmington, Delaware, and both parties consent to the jurisdiction and venue of such courts.
Waiver of Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
Governing Law: These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of the State of Delaware, U.S.A., without regard to its conflict of law principles.
To the fullest extent permitted by applicable law, Hala CAYA, Inc., its affiliates, directors, officers, employees, agents, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Your access to or use of or inability to access or use the Services;
Any conduct or content of any third party on the Services;
Any content obtained from the Services; and
Unauthorized access, use, or alteration of your transmissions or content.
Maximum Liability: In no event shall the aggregate liability of Hala CAYA, Inc. for all claims relating to the Services exceed the amount you paid, if any, to Hala CAYA, Inc. for the specific service giving rise to the claim in the 12 months preceding the claim.
No Warranties: The Services are provided on an “as is” and “as available” basis without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and course of performance.
Jurisdictional Limitations: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. In such cases, the liability of Hala CAYA, Inc. will be limited to the fullest extent permitted by applicable law.
Hala CAYA, Inc. reserves the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately. The following circumstances may lead to the termination of your account:
Violation of Terms: If you breach any of the Terms & Conditions outlined in this agreement, Hala CAYA, Inc. may terminate your account and access to the Services immediately.
Misuse of Services: Engaging in activities that disrupt, abuse, or misuse the Services, including unauthorized access, spamming, or any other behavior deemed inappropriate by Hala CAYA, Inc., may result in immediate termination.
Non-Payment: Failure to pay for the Services when due may result in suspension or termination of your account.
Legal Requirements: If required by law, or if Hala CAYA, Inc. reasonably believes that your actions could cause legal liability for the company, we may terminate your account.
Effects of Termination: Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which, by their nature, should survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability, shall survive.
Account Data: Hala CAYA, Inc. may retain your account information and data as required by law or for legitimate business purposes. However, upon termination, you may lose access to any data or content stored in your account, and Hala CAYA, Inc. is not obligated to maintain or forward any information to you or any third party.
Reactivation: In some cases, Hala CAYA, Inc. may allow reactivation of a terminated account, but this is at the sole discretion of the company and may require the resolution of the issue that led to termination.
Hala CAYA, Inc. reserves the right to modify, update, or revise these Terms & Conditions at any time, at our sole discretion. If we make material changes to these Terms, we will provide notice of such changes, which may include sending an email to the address associated with your account or by prominently posting a notice on our platform.
Reviewing Changes: It is your responsibility to review the Terms periodically for any updates or changes. Your continued use of the Services after any changes to the Terms constitutes your acceptance of the new Terms.
Effective Date of Changes: Any modifications to these Terms will become effective on the date specified in the notice or, if no date is specified, immediately upon being posted.
Disagreement with Changes: If you do not agree with any modifications to the Terms, you must discontinue your use of the Services immediately. Continuing to use the Services following the posting of changes will indicate your acceptance of those changes.
